9). Onboarding Process Checklist for athletes in the marketplace

  • Step 1: All new users (athletes) must create a username and password
  • Step 2: Once the password is created, they will be given the following form stating that they must get signed by a representative of their college’s athletic department giving them permission to be present on this Marketplace and engage in NIL money generating activities

Sports Media NIL Athlete Permission Agreement

  • Introduction:
    This Agreement is entered into on [Insert Date] by and between [Athlete's Full Name] ("Athlete"), [Name of College/University] ("College"), and Sports Media Inc. ("Sports Media"), collectively referred to as the "Parties."
  • Objective:
    The purpose of this Agreement is to grant the Athlete permission to engage in Name, Image, and Likeness (NIL) activities facilitated by Sports Media, ensuring compliance with the College's policies, NCAA regulations, and all applicable state and federal laws while safeguarding the Athlete's rights and interests.

Terms and Conditions:

  • Grant of Permission:
    a. The College hereby grants the Athlete the permission to engage in NIL activities with Sports Media during their tenure as a student-athlete at the College.
    b. The Athlete acknowledges and agrees that this permission is exclusive to NIL activities specifically facilitated by Sports Media. The Athlete is prohibited from engaging in NIL activities with any other entities, agencies, or individuals without obtaining prior written consent from the College.

  • Educational Responsibility:
    a. The Athlete is responsible for becoming fully informed about the College's policies and guidelines regarding NIL activities.
    b. The Athlete is required to be aware of and respect the existing partnerships and agreements that the College has with other entities. Prior to engaging in any NIL activities with Sports Media, the Athlete must verify that these activities do not infringe upon or conflict with any of the College's existing partnerships.
    c. The Athlete must comply with all NCAA policies and applicable state and federal regulations governing NIL activities. This responsibility includes staying updated on any changes to these regulations and adhering to all guidelines related to NIL engagements.

  • Collaboration with Sports Media:
    a. The Athlete commits to engaging in NIL activities, including but not limited to social media promotion and merchandise sales, in a manner consistent with Sports Media's guidelines.
    b. Sports Media will support the Athlete's personal brand growth through resources such as social media training and merchandise store creation.

  • Compensation and Benefits:
    a. The Athlete hereby acknowledges and agrees that any compensation, including but not limited to payments, royalties, or any other form of remuneration received directly or indirectly from Sports Media and/or its affiliated brands, shall be considered independent of and shall not affect, any athletic scholarships, stipends, or other financial benefits provided by the College. This arrangement is made with the understanding that compensation from NIL activities is distinct from financial support for athletic performance or academic achievement offered by the College.
    b. The Athlete may be eligible to receive additional incentives and benefits, which may include but are not limited to bonuses, revenue sharing, or other performance-based rewards, contingent upon the Athlete's achievement of specific metrics related to social media growth, merchandise sales, and other agreed-upon performance criteria as explicitly outlined by Sports Media. The determination of such incentives and benefits shall be made on a case-by-case basis and subject to the terms and conditions set forth by Sports Media. The parties acknowledge that these terms may be subject to negotiation and modification from time to time based on mutual agreement in writing.

  • Compliance and Reporting:
    a. The Athlete agrees to report NIL activities to the College's designated compliance officer within [specify timeframe] of any agreement or activity.
    b. Documentation required by the College for compliance purposes must be provided by the Athlete as requested.

  • Term and Termination:
    a. This Agreement is effective from the date of signing and shall remain in effect until [Insert End Date] unless earlier terminated by any party with [Insert Notice Period] notice.

Onboarding activities continued:

Step 3: Create a place for them to submit the form. Once their forms are received and our team approves them, they enter their portal
Step 4: The first instruction is for them to post a profile picture. Once they do so, they can access the next step to post an introduction video of themselves.
Step 5: The introduction video must state:

  • Their name
  • Where they are from
  • What school they attend
  • What year they are in school
  • What sport they play and what position they are/ event they do
  • Fun fact about themselves
  • The most important traits of brands they would like to work with (consider removing)

Step 6: Once the video is submitted, they gain access to a place where they are requested to post any pictures they would like from their athletic careers. Give another disclaimer that any pictures that include their current college in it (uniforms, logos, athletic centres etc) can only be posted if they have express written consent to do so from their college
Step 7: They will then gain access to content genie where they will see tutorials and various tools
Step 8: They will then gain access to their merchandise store, where the (currently 11) initial products for sale are available. They can include pictures on merchandise or non trademarked logos etc (Talk to legal about this)
Step 9: Ask them if they would like a QR code avatar created. If they do, give them place to submit the picture to be used into the generator, which is linked to our qrcode art generator.
Step 10: Now there will be a checklist of which NIL options they wish to engage in. The (Work in progress) list is:

  • Social Media Posts
  • Appearances
  • Autograph Sessions
  • Video Shoutouts

Step 11: Once they submit all materials, they are added to the marketplace dashboard where all brands can see them. Brands will be able to see:

  • Athlete name
  • Picture
  • Video
  • Basic stats such as school, sports, position, home town
  • Social media Metrics
  • Prices for each type of services (potentially don’t include this)

Contracts

Once a brand clicks on an option, a basic contract will be sent to both the athlete and the brand:

Sports Media Inc. NIL Partnership Agreement

This Agreement (the "Agreement") is made effective as of [Date] (the "Effective Date") by and between [Athlete/School Name] ("Participant") and [Brand Name] ("Brand"), collectively referred to as the "Parties."

1. Scope of Agreement
The Participant agrees to grant the Brand the right to use the Participant’s name, image, likeness, and other related attributes (collectively, “NIL Rights”) for the purpose of promoting and advertising the Brand’s products or services.

2. Duration of Agreement
The Agreement commences on the Effective Date and shall continue for [Duration] unless earlier terminated under the terms provided herein.

3. Compensation
The Brand shall compensate the Participant for the use of NIL Rights as follows: [Specify Compensation Terms], payable within [Specify Payment Terms, e.g., number of days] following the receipt of an invoice from the Participant.

4. Obligations of the Brand
a. The Brand will use the NIL Rights solely for the marketing and promotion of its products or services as outlined in this Agreement. 
b. The Brand shall provide the Participant with drafts of any promotional materials or campaigns featuring the Participant for their approval prior to                publication, to be given or withheld at the Participant’s sole discretion.
c. The Brand agrees to make all compensation payments to the Participant in accordance with the specified schedule and terms.

5. Obligations of the Participant
a. The Participant warrants that they have the full authority to grant the NIL Rights provided for in this Agreement and that such grant does not infringe on      the rights of any third party.
b. The Participant will assist in creating promotional content as reasonably required.
c. The Participant shall inform the Brand of any changes in circumstances that may impact their ability to fulfill their obligations under this Agreement.

6. Termination
Either Party may terminate this Agreement upon [Specify Cure Period] written notice to the other Party of a breach of any material term of this Agreement if such breach remains uncured at the expiration of the cure period.

7. Confidentiality
The Parties agree to maintain the confidentiality of all proprietary information and materials shared during the term of this Agreement and for [Specify Duration] thereafter.

8. Intellectual Property
The Brand acknowledges that any use of the Participant’s NIL Rights under this Agreement does not grant the Brand any ownership rights in the Participant’s image, likeness, or any other intellectual property rights.

9. Governing Law and Dispute Resolution
